Terms of Service

Agreement

These Terms of Service (“Terms”) govern your access to and use of the Breadbox platform, the website at breadboxmsp.com, and any related services (together, the “Service”) provided by Breadbox (“Breadbox,” “we,” “our”). By creating an account or using the Service, you agree to these Terms on behalf of yourself and the organization you represent (“Customer,” “you”).

If you don't agree to these Terms, don't use the Service. If you're entering into these Terms for an organization, you represent that you have authority to bind that organization.

The Service

Breadbox is a customer relationship management platform built for managed service providers. We may add, change, or remove features over time. We'll give reasonable notice before making changes that materially reduce the core functionality you're paying for.

The Service depends on third-party infrastructure and on integrations you choose to connect (for example, your PSA, email, or calendar). We're not responsible for those third-party systems or for changes they make to their APIs.

Accounts

You'll need an account to use the Service. You're responsible for the accuracy of the information you provide, for keeping credentials secure, and for all activity under your account. Notify us promptly at support@breadboxmsp.com if you suspect unauthorized access.

You must be at least 18 years old and authorized to enter into a contract to use the Service. The Service is a business product and is not intended for personal or consumer use.

Subscriptions and billing

Paid plans are billed in advance on a monthly or annual cycle based on the plan you select. Fees are non-refundable except where required by law or expressly stated by us in writing. You authorize us and our payment processor to charge your payment method on each renewal until you cancel.

We may change pricing for future billing cycles with at least 30 days' notice. If you don't agree to a price change, you may cancel before it takes effect. Failure to pay may result in suspension or termination of the Service.

Free trials, if offered, run for the period stated at sign-up. If you don't add a payment method or cancel before the trial ends, your workspace may become read-only until you do.

Customer data

You own the data you and your users upload to or generate in the Service (“Customer Data”). You grant Breadbox a limited, worldwide, non-exclusive license to host, copy, process, and display Customer Data solely to provide and improve the Service for you, to support you, and to comply with law.

You're responsible for the lawfulness of the Customer Data you provide and for having any consents needed from the individuals it relates to. You can export Customer Data from your workspace; on cancellation we follow the retention schedule described in our Privacy Policy.

We do not sell Customer Data and do not use it to train third-party AI models.

Acceptable use

You agree not to:

  • Use the Service in violation of any law, regulation, or third-party right.
  • Upload malware, attempt to gain unauthorized access, probe for vulnerabilities outside an authorized program, or interfere with the Service's normal operation.
  • Reverse engineer, decompile, or attempt to extract source code, except where applicable law permits and we can't contractually prohibit it.
  • Resell, sublicense, or use the Service to build a competing product.
  • Send unsolicited commercial messages or use the Service to store or transmit content that is unlawful, harassing, defamatory, or infringing.
  • Use the Service to process special-category personal data (for example, health, financial account, or government ID data) unless we've agreed in writing.

We may suspend access without notice if your use poses a security, legal, or operational risk to the Service or to other customers.

Third-party integrations

The Service can connect to third-party products at your direction. Your use of those products is governed by their terms, not ours. Granting an integration permission authorizes Breadbox to exchange data with that product on your behalf. You can disconnect integrations at any time from workspace settings.

Intellectual property

Breadbox and its licensors own all rights in the Service, including the platform software, brand, and documentation, except for Customer Data. Subject to these Terms and your payment of fees, we grant you a non-exclusive, non-transferable right to use the Service during your subscription term for your internal business purposes.

If you give us feedback or suggestions, we may use them without restriction or obligation to you.

Confidentiality

Each party may receive non-public information from the other that is marked confidential or that a reasonable person would understand to be confidential. The receiving party will use that information only to perform under these Terms and will protect it with at least the same care it uses for its own confidential information. This section doesn't apply to information that is or becomes public through no fault of the receiving party, was already known, or is independently developed without use of the other's confidential information.

Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, Breadbox disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We don't warrant that the Service will be uninterrupted, error-free, or that it will meet your specific requirements.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility.

Each party's total aggregate liability arising out of or related to these Terms is limited to the fees you paid for the Service in the 12 months before the event giving rise to the claim. These limits don't apply to a party's indemnification obligations, breach of confidentiality, or liability that cannot be limited by law.

Indemnification

You will defend, indemnify, and hold Breadbox harmless from third-party claims arising out of (a) Customer Data, (b) your use of the Service in breach of these Terms, or (c) your violation of law or third-party rights. We will defend, indemnify, and hold you harmless from third-party claims that the Service, used as authorized under these Terms, infringes that third party's intellectual property rights. The indemnified party must promptly notify the indemnifying party of the claim and reasonably cooperate in its defense.

Term and termination

These Terms apply for as long as you use the Service. You may cancel at any time from workspace settings; cancellation takes effect at the end of the current billing cycle. We may terminate or suspend the Service if you materially breach these Terms and don't cure within 15 days of notice, or immediately if your use creates legal or security risk.

On termination, your right to access the Service ends. You remain responsible for any fees accrued before termination. The sections of these Terms that by their nature should survive (for example, ownership, confidentiality, disclaimers, liability limits, and indemnification) will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Delaware, excluding its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of or related to these Terms, and each party consents to that jurisdiction and venue. The UN Convention on Contracts for the International Sale of Goods does not apply.

Changes to these Terms

We may update these Terms as the Service evolves. When changes are material, we'll notify account admins by email or in-app notice before they take effect. Continued use of the Service after the effective date means you accept the updated Terms. The “Last updated” date above always reflects the current version.

General

These Terms, together with the Privacy Policy and any order form or written agreement we sign with you, are the entire agreement between us about the Service. If any provision is held unenforceable, the rest remain in effect. Failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent, except to a successor in a merger or acquisition. We may assign these Terms to an affiliate or successor.
